1. Grant of Limited Permission

Subject to the terms of this LICENSE and to the ExChek Terms and Conditions (and linked AI Disclaimer and Privacy Policy) at https://docs.exchek.us, ExChek, Inc. grants you a limited, non-exclusive, non-transferable, revocable right to use, copy, and install the materials in this repository for your internal business use in connection with export compliance assistance, including without limitation: running the ExChek skills in your own AI agents, using the ExChek API as permitted, and using the documentation. No payment is required for this permission. Optional donations do not create any additional rights or obligations.

2. Restrictions

You may not: (a) transfer ownership of the materials or any ExChek intellectual property to any third party; (b) sublicense, assign, or transfer the permission granted hereunder to any third party without ExChek's prior written consent; (c) use the materials to build or offer a product or service that competes with ExChek's offering, or rebrand or repackage the materials as your own product; (d) remove or alter any copyright, trademark, or other proprietary notices. ExChek retains all trademark and other intellectual property rights. You have no right to use ExChek's trademarks, names, or logos except as necessary to use the materials as permitted (e.g., retaining "ExChek" in report footers or disclosures).

3. Reservation of Rights; Assignment by ExChek; Title

All rights not expressly granted in this LICENSE are reserved to ExChek, Inc. No implied licenses are granted. ExChek, Inc. may assign this LICENSE and its rights and obligations hereunder, and may transfer or sublicense its rights in the software and documentation, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Such assignment does not expand the rights granted to you under this LICENSE. Title and full ownership of the software and documentation remain at all times with ExChek, Inc. (or its assignee). Your use of the materials does not give you any ownership or security interest.

4. Disclaimers and Limitation of Liability

THE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EXCHEK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE MATERIALS ARE FOR INFORMATIONAL AND ASSISTIVE USE ONLY AND DO NOT CONSTITUTE LEGAL, COMPLIANCE, OR REGULATORY ADVICE. 5. Termination

ExChek may revoke the permission granted under this LICENSE at any time, with or without cause, by notice (e.g., by posting an updated LICENSE or notice on the repository or at https://docs.exchek.us). Upon revocation or upon any violation of this LICENSE or the incorporated Terms, your right to use the materials ceases. Sections that by their nature should survive (including Disclaimers and Limitation of Liability, Reservation of Rights, and Governing Law) will survive termination.

6. General

This LICENSE is governed by the laws of the State of Delaware, without regard to conflict of laws. This LICENSE and the referenced Terms constitute the entire agreement regarding the materials. If any provision is held unenforceable, the remaining provisions remain in effect.
