Orion AI Workspace - Proprietary License

1. License Grant

Orion AI Global ("the Company") grants you, the user or organization ("Licensee"), a limited, non-exclusive, non-transferable, revocable license to access and use Orion AI Workspace ("the Product") internally only for personal, educational, or business purposes.

This license does not grant any rights to the underlying code, infrastructure, or intellectual property of the Product beyond the permitted internal use.

2. Restrictions

The Licensee is strictly prohibited from:

  • Copying, distributing, sublicensing, or reselling the Product.
  • Deploying, embedding, or offering the Product as a paid or commercial service to third parties.
  • Modifying, reverse-engineering, decompiling, or creating derivative works for resale, distribution, or public use.
  • Using the Product in violation of applicable laws or regulations.

3. Intellectual Property

All intellectual property rights in the Product remain exclusively with Orion AI Global, including:

  • Codebase (frontend, backend, APIs, and infrastructure)
  • User interface and experience (UI/UX)
  • Documentation and tutorials
  • Logos, branding, and trademarks
  • AI models, datasets, and proprietary algorithms

No ownership or rights are granted to the Licensee beyond the internal access permitted under this license.

4. Warranty Disclaimer

The Product is provided "as-is" and without warranties of any kind, whether express, implied, or statutory, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

Orion AI Global does not guarantee that the Product will be error-free, uninterrupted, or secure, and is not responsible for any loss or damage arising from its use.

5. Limitation of Liability

To the maximum extent permitted by law, Orion AI Global shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Product, including:

  • Loss of data
  • Loss of profits
  • Business interruption
  • Unauthorized access or cyber incidents

6. Termination

This license will automatically terminate if the Licensee violates any term of this agreement. Upon termination:

  1. Access to the Product must immediately cease.
  2. Any copies, modifications, or derivatives must be destroyed.
  3. No further rights or permissions are granted.

Orion AI Global reserves the right to terminate access at its sole discretion for any breach of this license.

7. Governing Law

This license and any disputes arising from it shall be governed by and construed in accordance with the laws of India. Any disputes will be subject to the jurisdiction of the courts in India.

8. Miscellaneous

  • Updates & Support: Orion AI Global may provide updates or support at its discretion; no obligation is assumed.
  • Third-party Components: Any open-source or third-party components included in the Product are governed by their respective licenses.
  • Branding & Trademarks: The Licensee may not use Orion AI Global’s logos, trademarks, or branding without prior written permission.
  • Reporting Violations: Reports of misuse or violations can be sent to support@orionaiworkspace.tech.

By using Orion AI Workspace, you agree to be bound by the terms of this Proprietary License.
